Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Silyze platform, applications, extensions, and any related services or features we make available (collectively, the “Services”). “Silyze,” “we,” “us,” and “our” refer to Silyze d.o.o., a company organized under the laws of North Macedonia. By registering for an account, downloading or using any part of the Services, or otherwise interacting with Silyze, you agree to be bound by these Terms. If you do not accept these Terms in full, you may not use the Services.

2. Eligibility and Acceptance of Terms

You must be at least 18 years old and have full legal capacity to enter into a binding contract in order to use the Services. By creating an account or otherwise accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you are using the Services on behalf of an organization, “you” also refers to that organization, and “your” will be interpreted accordingly.

3. Changes to Terms

We may update or modify these Terms at any time, in our sole discretion. Whenever we revise these Terms, we will update the “Last updated” date at the top of this page. It is your responsibility to review the Terms periodically. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

4. Account Registration and Security

Account Creation: To access certain features of the Services, you must register for an account by providing a valid email address, creating a password, and supplying any other required information. You agree (a) to provide accurate, current, and complete information during registration and (b) to update such information promptly if it changes.

Account Credentials: You are solely responsible for maintaining the confidentiality of your account credentials (email/password) and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security pertaining to your account.

Account Suspension or Deletion: We reserve the right to suspend or terminate your account and access to the Services—including removal of all files and data from our systems—at any time, without prior notice, if we determine (in our sole discretion) that you have violated these Terms or for any other reason.

5. User Responsibilities

When using the Services, you agree to:

  • Use the Services only for lawful purposes and in accordance with these Terms.
  • Refrain from impersonating any person or entity or misrepresenting your affiliation with any person or entity.
  • Comply with all applicable local, national, and international laws, rules, and regulations (including data protection, export control, and anti-spam laws).
  • Not upload, distribute, or otherwise make available any content that is unlawful, infringing, harmful, defamatory, obscene, or otherwise objectionable.
  • Be solely responsible for the accuracy, quality, and legality of any data or content you upload or transmit through the Services.
  • Maintain reasonable backups of your data and understand that you are solely responsible for your content; we are not responsible for any loss or corruption of your data.

6. Prohibited Activities

  • Reverse-engineer, decompile, or disassemble any part of the Services or attempt to discover any underlying source code.
  • Use the Services to transmit any viruses, malware, ransomware, trojans, or other harmful code.
  • Interfere with or disrupt the integrity or performance of the Services or any third-party data contained therein.
  • Bypass any measures we may use to prevent or restrict access to the Services.
  • Use automated scripts or bots (other than through APIs expressly provided by Silyze) to access or interact with the Services.
  • Harvest or collect personally identifiable information about other users without their consent.
  • Use the Services to violate any applicable law or regulation, or to facilitate the planning or execution of any wrongdoing, including any crime or intellectual property infringement.
  • Engage in any form of data scraping or unauthorized data extraction unless explicitly permitted in writing by Silyze.

7. Intellectual Property

Ownership of Silyze Materials: All content, designs, text, graphics, logos, icons, images, audio clips, downloads, data compilations, and software (collectively, “Silyze Materials”) included or made available through the Services are the property of Silyze or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Except as expressly set forth in these Terms, no part of the Services or Silyze Materials may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without our prior written permission.

Your Content: “Your Content” means all data, information, and content that you upload, submit, post, or otherwise transmit through the Services, including text, images, and database entries. You retain ownership of Your Content. By uploading or submitting Your Content through the Services, you grant Silyze a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual license to host, store, modify, reproduce, distribute, and display Your Content solely for the purpose of providing and improving the Services. You represent and warrant that you have all necessary rights to grant this license and that Your Content does not infringe or violate the rights of any third party.

8. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, share, and protect your personal data when you use the Services. By using the Services, you agree that we may collect and use your personal data as described in the Privacy Policy. If you are located in the European Economic Area (“EEA”), United Kingdom, or other jurisdictions with applicable data protection laws, you acknowledge that we process personal data in accordance with applicable law.

9. Paid Subscriptions and Billing

Subscription Plans: We offer various subscription tiers, each with its own pricing, features, and usage limits (collectively, “Paid Services”). Details about current pricing, billing, and renewal policies are available on our website or within the application. By subscribing to any Paid Service, you agree to pay all fees applicable to your chosen plan. All fees are non-refundable except as explicitly set forth in these Terms.

Payment Details: You authorize us (or our payment processor) to charge the payment method provided (e.g., credit card, debit card, or other permitted payment methods) for any subscription fees, overages, or other charges incurred through your account. You agree to keep your billing information accurate, complete, and up-to-date. If we are unable to bill your account for any reason, we may suspend or terminate your access to the Paid Services.

Automatic Renewal: Unless you cancel your subscription prior to the end of the then-current term, your subscription will automatically renew for the same length of time and at the prevailing subscription price, which may be adjusted from time to time. We will notify you in advance of any price change, and your continued use after the effective date of any price change constitutes your acceptance of the new pricing.

Taxes: All fees are exclusive of any value-added tax (VAT), sales tax, or any other applicable taxes, which will be added to the amount due where required by law.

10. Confidentiality

You acknowledge that in the course of using the Services, you may have access to or receive confidential or proprietary information of Silyze or its licensors (“Confidential Information”). Except as expressly permitted by these Terms or in writing by Silyze, you agree not to disclose or use any such Confidential Information for any purpose outside the scope of providing or using the Services. Confidential Information does not include information that (a) is or becomes publicly available without breach of these Terms; (b) was lawfully in your possession before receipt from Silyze; or (c) is rightfully received from a third party without restriction.

11. Third-Party Services and Content

The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Silyze. We do not endorse, guarantee, or assume responsibility for any such third-party content. If you access any third-party website or service via a link from the Services, you do so at your own risk, and you acknowledge and agree that Silyze shall have no liability arising from your use of or access to any third-party website or service.

12. Disclaimer of Warranties

THE SERVICES, ALL FUNCTIONALITY, CONTENT, AND INFORMATION MADE AVAILABLE THROUGH THE SERVICES, AND ALL THIRD-PARTY SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILYZE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SILYZE DOES NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS, (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (C) RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILYZE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SILYZE’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO SILYZE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You agree to indemnify, defend, and hold harmless Silyze and its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers (each, an “Indemnified Party”) from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in connection with (a) Your Content; (b) your violation or alleged violation of these Terms; (c) your violation of any third-party right (including any intellectual property, publicity, confidentiality, or privacy right); or (d) your use of the Services in a manner not expressly authorized by these Terms. You will cooperate as fully as reasonably required in the defense of any such claim. Silyze reserves the right to assume exclusive defense and control of any matter subject to indemnification by you.

15. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of North Macedonia, without regard to its conflict of law principles.

Venue: Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state or municipal courts located in Skopje, North Macedonia. You and Silyze each waive any objection to the jurisdiction or venue of such courts.

Informal Negotiations: Before initiating any legal action, you and Silyze agree to attempt to resolve any dispute informally through good-faith negotiations. If a dispute cannot be resolved informally within thirty (30) days, either party may pursue legal remedies.

16. Termination

Termination by You: You may terminate your account at any time by following the instructions in the account settings. Upon termination, your right to use the Services will immediately cease.

Termination by Silyze: We may, in our sole discretion, suspend or terminate your account, delete or remove your Content, or restrict your access to all or part of the Services at any time without notice or liability if you breach these Terms or for any other reason.

Effect of Termination: Upon any termination or expiration of these Terms, sections entitled “Intellectual Property,” “Privacy and Data Protection,” “Disclaimer of Warranties,” “Limitation of Liability,” “Indemnification,” “Governing Law and Dispute Resolution,” and any other provision that by its nature is intended to survive termination will continue in full force and effect. We may delete any of Your Content stored on our servers, and you will have no further access to such Content.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be deemed stricken and the remaining provisions will remain in full force and effect.

18. Waiver

Our failure to enforce any right or provision in these Terms will not constitute a waiver of that right or provision unless acknowledged and agreed to in writing by Silyze.

19. Entire Agreement

These Terms, together with our Privacy Policy (available at https://www.silyze.com/privacy), constitute the entire agreement between you and Silyze regarding your use of the Services and supersede any prior or contemporaneous understandings, agreements, negotiations, or discussions, whether written or oral, between you and Silyze.
